Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nex BuildO, the construction ERP provided by NexBorg AI ("NexBorg", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent ("Customer").

1. Accounts & eligibility

You must be at least 18 and authorised to bind your organisation. You are responsible for the accuracy of registration information, for safeguarding credentials, and for all activity under your account. Notify us promptly of any unauthorised use.

2. Subscriptions & billing

Nex BuildO is offered on the Essential, Professional, and Enterprise plans described on our pricing page. Fees are quoted in Indian Rupees (INR) and billed monthly or annually in advance, exclusive of applicable taxes (including GST). Unless otherwise agreed in an order form, subscriptions renew automatically for successive terms; you may cancel renewal before the next billing date. Fees already paid are non-refundable except where required by law.

3. Free trial

If you start a free trial, the Service is provided for evaluation until the trial ends or you subscribe. We may modify or discontinue trials at any time.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) attempt to gain unauthorised access to the Service, other customers' data, or underlying infrastructure; (c) reverse engineer, resell, or rent the Service except as permitted; (d) upload malware or attempt to disrupt the Service; or (e) circumvent usage limits, permissions, or security controls.

5. Customer data & ownership

As between the parties, you own all data your organisation enters into Nex BuildO (projects, costs, logs, photos, documents). You grant us a limited licence to host and process that data solely to provide and support the Service. We handle personal data as described in our Privacy Policy.

6. AI features

The AI assistant proposes actions from a finite, permission-checked allowlist; no write action is performed until you review and approve it. The AI support chat returns answers grounded in your workspace documentation. AI output may contain errors and is provided as assistance, not professional advice — you are responsible for reviewing AI-drafted entries (including financial entries) before relying on them.

7. Availability & support

We aim for high availability and target 99.9% monthly uptime for paid plans, with priority support on Professional and a dedicated success manager and SLA on Enterprise. Planned maintenance is communicated in advance where practical.

8. Intellectual property

The Service, including its software, design, and brand marks (such as the Nex BuildO logo), is owned by NexBorg AI and protected by law. These Terms grant no rights to our IP except the right to use the Service per your subscription.

9. Suspension & termination

We may suspend or terminate access for material breach, non-payment, or risk to the Service or other customers. You may stop using the Service at any time. On termination, your right to use the Service ends; we will make customer data available for export for a limited window as described in the Privacy Policy.

10. Disclaimers

Except as expressly stated, the Service is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, NexBorg AI will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our aggregate liability for any claim is limited to the fees paid by the Customer for the Service in the twelve months preceding the claim.

12. Governing law

These Terms are governed by the laws of India, and the courts at Chennai, Tamil Nadu have exclusive jurisdiction, without prejudice to any mandatory consumer protections that apply to you.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email; continued use after changes take effect constitutes acceptance.
